Terms & Conditions

The Platform is intended to facilitate discovery of potential entertainment-industry matches for sellers to pitch to buyers. Users may create profiles and, subject to verification and these Terms, may post:

• Buyer or seller information;
• Entertainment-industry areas of interest;
• Wishlists;
• Acquisition mandates;
• Sales mandates;
• Content, rights, projects, or opportunities sought or offered; and
• Other information permitted by the Platform.

The Platform is a discovery directory and does not provide an in-platform communication or transaction service.

The Platform does not require or permit users to conduct negotiations, make offers, exchange messages, or otherwise communicate with one another through the Platform unless the Platform expressly introduces such functionality in the future and the applicable Terms are updated accordingly.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.

By registering, you represent and warrant that:

1. You have the legal capacity to enter into these Terms;
2. The information you provide is accurate to the best of your knowledge;
3. You are authorized to act for any company, organization, or other entity you identify as your employer, client, principal, or represented party;
4. You will maintain the accuracy of your account information; and
5. Your use of the Platform will comply with all applicable laws and regulations. The Platform may decline, suspend, or terminate registration or verification at its discretion.

Access to certain Platform information and functionality is limited to verified users. The Platform may request information or documentation reasonably necessary to verify a user’s identity, company affiliation, professional role, authority, or participation in the entertainment industry.

Verification may include, without limitation:

• Identity verification;
• Company or business verification;
• Employment or affiliation verification;
• Professional credentials;
• Domain or email verification;
• References or other supporting information; or
• Other verification procedures determined by the Platform.

Verification is not a guarantee, certification, endorsement, accreditation, background check, or representation that a user is trustworthy, financially capable, reputable, or suitable for any particular transaction.

The Platform may approve, deny, delay, suspend, or revoke verification at any time. Users must not misrepresent their identity, company, professional position, authority, affiliations, or other material information.

There is currently no fee to become a registered user of the Platform.

Users are not charged a fee to:

• Create an account;
• Become a verified user;
• Browse the Platform;
• View information made available to verified users;
• Create or maintain a profile;
• Post a wishlist;
• Post a mandate; or
• Use other free Platform features designated by the Platform.

The Platform reserves the right to introduce paid products, services, subscriptions, advertising, premium features, or other commercial offerings in the future. Any such charges will be subject to applicable terms disclosed at the time of purchase or enrollment.

The Platform does not charge users a commission, success fee, transaction fee, or other fee.

Users may create profiles containing information about themselves, their companies, professional title, areas of interest, and other permitted information.

Subject to the Platform’s available settings, a user may designate their profile as either:

A. Public Profile. A public profile may be visible to members of the general public, including individuals who are not registered or verified users. A public profile may display information such as the user’s:

• Name;
• Company name;
• Professional title or role;
• General industry classification;
• General professional information; and
• Other information expressly designated by the Platform as public profile information.

A public profile does not make the user’s contact information, wishlist or mandate publicly available. Wishlists and mandates remain restricted to verified users regardless of whether the user’s profile is public.

B. Private Profile. A private profile is not intended to be publicly discoverable. Information associated with a private profile may be made available only to verified users, subject to the Platform’s settings and these Terms.

A user who selects a private profile understands that restricting public visibility may reduce the ability of other potential counterparties to discover the user’s participation on the Platform.

Verified users may post wishlists and/or mandates describing entertainment-related opportunities, content, rights, projects, services, financing requirements, acquisition interests, sales interests, or other business objectives.

For purposes of these Terms:

“Wishlist” means information identifying entertainment-related items, opportunities, rights, content, projects, services, or other opportunities that a user is interested in finding, acquiring, licensing, financing, representing, distributing, producing, or otherwise pursuing, and must follow all applicable laws, and include no illegal content.

“Mandate” means a user’s stated business requirement, acquisition requirement, sales objective, representation requirement, or other authorized business interest or instruction, must follow all applicable laws, and include no illegal content.

Wishlists and mandates:

• Are available only to verified users;
• Are not publicly displayed merely because a user's profile is public;
• May be edited, removed, restricted, or deactivated by the user;
• Must be truthful and not materially misleading;
• Must not violate the rights of third parties; and
• Must not contain prohibited content under these Terms.

The Platform does not guarantee that a wishlist or mandate will result in a response, introduction, transaction, acquisition, sale, financing, licensing arrangement, representation agreement, or other business opportunity.

The Platform is designed as a discovery directory rather than a communications platform.

Unless expressly enabled by the Platform in the future, the Platform does not provide:

• Direct messaging between users;
• In-platform email;
• Chat;
• Negotiation tools;
• Offers or counteroffers;
• Deal rooms;
• Contract negotiation;
• Transaction execution; or
• Other direct communications between users.

A user may independently contact another user outside the Platform using contact information or other communication channels that the user lawfully obtains.

The Platform is not responsible for communications, negotiations, representations, agreements, transactions, or disputes occurring outside the Platform.

The Platform is a discovery and directory service.

Unless expressly agreed in a separate written agreement, the Platform is not: a broker; agent; manager; talent representative; sales representative; distributor; producer; financier; investment adviser; entertainment attorney; business manager; fiduciary; or representative of any user.

Use of the Platform does not create a partnership, joint venture, agency, fiduciary relationship, employment relationship, or other representative relationship between the Platform and any user.

The Platform does not negotiate or enter into transactions on behalf of users.

Although the Platform may employ verification procedures, the Platform does not guarantee the identity, credentials, financial condition, authority, reputation, intentions, ownership, rights, capabilities, or conduct of any user.

Users are solely responsible for conducting their own due diligence before entering into any communication, agreement, transaction, investment, acquisition, license, representation relationship, or other business arrangement with another user.

The Platform does not guarantee:

• The accuracy or completeness of user information;
• That a user has authority to offer or acquire any particular property or rights;
• That a wishlist or mandate is current;
• That any opportunity is available;
• That any user will respond to an inquiry;
• That any transaction will close;
• That any content or rights are legally available;
• That any user will perform its obligations; or
• That use of the Platform will result in any business opportunity.

Users retain ownership of content they submit to the Platform, subject to the rights granted below.

By submitting a profile, wishlist, mandate, description, text, image, logo, or other material (“User Content”), you grant the Platform a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, format, display, distribute, and otherwise use the User Content as reasonably necessary to operate, maintain, improve, promote, and provide the Platform.

The license continues for so long as reasonably necessary for the Platform to provide its services and maintain legitimate business records, subject to applicable law and the Platform’s privacy practices.

You represent and warrant that:

1. You own or control the rights necessary to submit the User Content;
2. You have obtained all required permissions, licenses, consents, and authorizations;
3. The User Content does not infringe or misappropriate the intellectual-property, privacy, publicity, contractual, or other rights of any third party;
4. The User Content is not fraudulent or materially misleading; and
5. The User Content complies with these Terms and applicable law.

Users should exercise caution when posting information to the Platform.

Because wishlists and mandates may be visible to other verified users, users should not post confidential, proprietary, privileged, personally sensitive, or trade-secret information unless they have determined that disclosure is appropriate.

The Platform does not guarantee that information posted to the Platform will remain confidential.

Users are responsible for determining what information they are authorized to disclose. The Platform does not provide a confidentiality agreement, nondisclosure agreement, or other contractual confidentiality protection between users merely because information is posted on the Platform.

Users may not use the Platform to:

• Impersonate another person or entity;
• Misrepresent identity, authority, affiliation, or credentials;
• Create fraudulent or misleading profiles;
• Post fraudulent, deceptive, or materially misleading wishlists or mandates;
• Post information for which the user lacks the necessary rights or authorization;
• Infringe copyrights, trademarks, publicity rights, privacy rights, trade secrets, or other rights;
• Upload malicious code or attempt to interfere with Platform operations;
• Scrape, harvest, copy, index, or systematically collect Platform information except as expressly authorized;
• Circumvent verification, access controls, or privacy settings;
• Attempt to access information restricted to verified users;
• Use another person's account;
• Sell, transfer, or share account credentials;
• Use the Platform for unlawful purposes;
• Spam, solicit, harass, threaten, or abuse other users;
• Use Platform information to facilitate fraud or unlawful activity;
• Post content that is defamatory, fraudulent, threatening, discriminatory, or otherwise unlawful;
• Submit false verification information;
• Attempt to manipulate, exploit, or abuse the verification system; or
• Use the Platform in a manner that could reasonably harm the Platform, its users, or its reputation.

The Platform and its original content, features, design, software, trademarks, logos, compilation of information, and other materials are owned by or licensed to PITCHLISTDISCOVERY LLC and are protected by applicable laws.

Except as expressly permitted by these Terms, users may not reproduce, modify, distribute, publicly display, publicly perform, create derivative works from, sell, license, scrape, or commercially exploit the Platform or its proprietary materials.

A user’s limited right to use the Platform does not transfer ownership of any Platform intellectual property.

The Platform’s collection, use, storage, disclosure, and processing of personal information are governed by the Platform’s Privacy Policy, as amended from time to time. By using the Platform, you acknowledge that your information may be processed as described in the Privacy Policy.

Users should understand that selecting a public profile may cause certain profile information to be visible to members of the public. Selecting a private profile does not necessarily mean that information is inaccessible to the Platform, its service providers, or verified users to whom information is expressly made available under the Platform’s functionality.

The Platform uses reasonable measures designed to implement user verification and profile visibility settings. However, no online system can guarantee absolute security, confidentiality, or prevention of unauthorized access.

The Platform does not guarantee that:

• An individual claiming to be a particular person is actually that person;
• A company affiliation remains current;
• Information will never be copied or redistributed;
• A verified user will not misuse information;
• Public information will never be indexed by search engines or copied by third parties; or
• Privacy or security controls will never fail.

Users acknowledge these risks and should exercise appropriate discretion when posting information.

The Platform may contain links to third-party websites, services, social-media profiles, or other resources. The Platform does not control or endorse third-party websites or services and is not responsible for their availability, content, privacy practices, security, or terms. A user’s interaction with a third party is solely between the user and that third party.

The Platform does not participate in transactions between users.

Any agreement, negotiation, acquisition, sale, license, financing arrangement, representation agreement, investment, employment relationship, or other transaction between users is solely between those users.

Users are responsible for conducting their own legal, financial, business, intellectual-property, rights, title, and other due diligence.

The Platform is not responsible for losses arising from a user’s dealings with another user.

The Platform may, but is not obligated to, review, monitor, edit, restrict, suspend, or remove any profile, wishlist, mandate, or other User Content at any time.

The Platform may remove or restrict content if it reasonably believes that the content:

• Violates these Terms;
• Violates applicable law;
• Infringes third-party rights;
• Is fraudulent or misleading;
• Creates a security or legal risk;
• Is inconsistent with the purpose of the Platform; or
• May harm the Platform or its users.

The Platform is not required to provide advance notice before removing or restricting content where circumstances warrant immediate action.

A user may discontinue use of the Platform at any time.

The Platform may suspend or terminate an account or verification status, or remove a profile, wishlist, mandate, or access to any portion of the Platform if:

• The user violates these Terms;
• The user provides false or misleading information;
• Verification information cannot be confirmed;
• The user's conduct creates a security, legal, or reputational risk;
• The user misuses Platform information;
• The user engages in fraudulent or abusive conduct; or
• The Platform otherwise determines that suspension or termination is appropriate.

Termination does not eliminate obligations that by their nature should survive termination, including provisions concerning intellectual property, user representations, disclaimers, limitations of liability, indemnification, dispute resolution, and applicable governing law.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

THE PLATFORM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.

THE PLATFORM DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

THE PLATFORM DOES NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENTNESS, OR RELIABILITY OF INFORMATION PROVIDED BY USERS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PITCHLISTDISCOVERY LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, OR LOSS OF GOODWILL ARISING OUT OF OR RELATING TO:

• USE OF OR INABILITY TO USE THE PLATFORM;
• USER CONTENT;
• USER VERIFICATION;
• INTERACTIONS BETWEEN USERS;
• COMMUNICATIONS OCCURRING OUTSIDE THE PLATFORM;
• TRANSACTIONS BETWEEN USERS;
• RELIANCE ON INFORMATION PROVIDED THROUGH THE PLATFORM; OR
• ANY OTHER MATTER RELATING TO THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE PLATFORM AND ITS AFFILIATES FOR CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO THE PLATFORM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not permit certain limitations of liability, so some of the above limitations may not apply to you.

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless PITCHLISTDISCOVERY LLC, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• Your use of the Platform;
• Your User Content;
• Your violation of these Terms;
• Your violation of applicable law;
• Your violation of another person's rights;
• Your representations regarding your identity, authority, or affiliation; or
• Any transaction, communication, agreement, or dispute between you and another user.

The Platform may modify, suspend, discontinue, or replace any feature or portion of the Platform at any time.

The Platform may also modify these Terms from time to time.

When material changes are made, the Platform may provide notice through the Platform, by email, or by other reasonable means.

Your continued use of the Platform after the effective date of revised Terms constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws principles.

If any dispute arising out of or relating to these Terms or the Platform cannot be first resolved through arbitration, then any dispute not resolved through arbitration shall be resolved exclusively in the state or federal courts located in Oklahoma County, Oklahoma, unless applicable law requires otherwise.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

The failure to enforce any provision of these Terms does not constitute a waiver of that provision.

These Terms, together with the Privacy Policy and any other terms expressly incorporated by reference, constitute the entire agreement between you and the Platform regarding your use of the Platform.

You may not assign or transfer your rights or obligations under these Terms without the Platform’s prior written consent.

The Platform may assign these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or similar transaction.
